Abstract: The proliferation of Environmental, Social and Governance (ESG) disclosure requirements has placed greenwashing risks and sustainability reporting governance at the forefront of the corporate agenda in the United Kingdom. This paper employs a conceptual methodology grounded in secondary data academic literature, regulatory documents, and sustainability reporting frameworks to develop a comprehensive corporate governance strategy for managing greenwashing risks and ensuring compliance with UK ESG regulations. An ESG Risk Mitigation Matrix is constructed to identify regulatory, financial, operational, and reputational risks arising from non-compliance. A strategic Master Manager Playbook is also presented, embedding transparent reporting checkpoints directly into operational workflows. The findings indicate that independent governance structures, continuous ESG monitoring, and third-party assurance significantly enhance reporting credibility, strengthen stakeholder trust, reduce compliance risks, and create sustainable long-term value.
